1: BEFORE YOU CARRY ON BUSINESS
When you are contemplating entering into business or actually intend to carry one on, it is prudent to consult me beforehand.
I can discuss with you the appropriate manner of carrying on that business, and advise you whether you should do so as a sole proprietor, in partnership, or as a company. I can also prepare any necessary documentation, such as business name registration or incorporation documents.
Incorporation should be done properly and includes choosing and obtaining a name (unless you wish the company to have a "number name"), preparing and filing articles of incorporation, completing organizational by-laws and minute book registers, as well as issuing the necessary share(s) and certificate(s) for same.
If there is more than one shareholder, a shareholders' buy-sell agreement is often appropriate.
I can also advise you with regard to renting, leasing or purchasing business premises, and I can assist you with regard to any other business matters, including negotiating and preparing contracts.
2: WHEN YOU ARE ALREADY CARRYING ON BUSINESS
While it is better to be properly advised before you enter into business, I am happy to be consulted and retained by ongoing businesses.
